Serious question, did my partnership agreement just cost me $12k?
I followed the standard advice to keep the operating agreement vague for flexibility, but when my co-founder left last quarter in Austin, the ambiguity let him argue for a bigger payout than his actual contributions justified and now I'm stuck negotiating with a lawyer I didn't plan on hiring has anyone else had an operating agreement backfire like that?

Isn't it possible the vague agreement just gave him more room to be greedy? I'd argue clarity could've set firm limits from the start.

Oh wow, that's a rough spot to be in. Here's something nobody's talking about: that vague agreement might have actually saved you from an even worse outcome. If you'd spelled out every detail, he could've argued you broke some hidden clause and sued for more. Ambiguity cuts both ways, sure, but it also lets you argue he didn't meet undefined expectations. Silver lining maybe, but still a $12k lesson in clarity.
